This Non-Disclosure Agreement ("Agreement") is entered into as of the date submitted below, between Path To Work, operated by Reider Waage ("Company"), and the individual named below ("Beta Tester").

1. Purpose

Beta Tester is being granted access to Path To Work's pre-release platform, assessment tools, roadmap content, and related materials (collectively, the "Confidential Information") for the sole purpose of providing feedback to help improve the platform before its public launch.

2. Confidential Information

Confidential Information includes, but is not limited to:

The Path To Work assessment, scoring logic, and career path methodology
Unreleased platform features, designs, and user interfaces
Business strategy, pricing, partner relationships, and roadmap
Any materials, data, or content shared during beta testing

3. Beta Tester Obligations

Beta Tester agrees to:

Keep all Confidential Information strictly private and not disclose it to any third party without prior written consent from the Company.
Use the platform solely for personal evaluation and feedback purposes — not for commercial use, resale, or competitive analysis.
Not reproduce, copy, screenshot, or distribute any part of the platform, its content, or its output without express written permission.
Notify the Company promptly if any unauthorized disclosure of Confidential Information occurs.

4. Feedback

Any feedback, suggestions, or ideas Beta Tester provides to the Company may be used by the Company without restriction, compensation, or attribution, and shall become the sole property of the Company.

5. Intellectual Property

Nothing in this Agreement grants Beta Tester any ownership rights, licenses, or interest in the Path To Work platform, brand, methodology, or any related intellectual property. All rights remain with the Company.

6. Term and Termination

This Agreement is effective as of the date submitted and remains in effect for two (2) years, or until Beta Tester's access to the platform is revoked, whichever comes first. Confidentiality obligations survive termination.

7. No Warranty

The platform is provided "as-is" during the beta period. The Company makes no warranties about the accuracy, completeness, or fitness for a particular purpose of any materials provided.

8. Governing Law

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved in Sacramento County, California.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior discussions or understandings. Amendments must be in writing and signed by both parties.
